Ventrix Pro Dealer Program

These Terms govern participation in the Ventrix Pro Dealer loyalty program. For how the program works in plain language, see the program overview. Ventrix's general terms of sale and privacy policy continue to apply.
Ventrix Pro Dealer ("the Program") is a loyalty program operated by Ventrix Supply LLC ("Ventrix") for trade customers. Participation is subject to these Terms. Enrollment is at Ventrix's discretion.
Licensed HVAC contractors and trade businesses with an active Ventrix Supply account in good standing are eligible. Membership is issued per company; all logins associated with the company share one membership, one points balance and one tier. Ventrix assigns a membership number on enrollment.
Tiers (Gold, Platinum, Diamond) are determined by the company's trailing-12-month eligible purchases: Gold from $30,000; Platinum from $100,000; Diamond from $300,000. Tier upgrades take effect as soon as the threshold is reached. A tier, once earned, is protected for 12 months from the date it was reached; at the end of that period the tier is reviewed against trailing-12-month purchases and renewed for a further 12 months if the threshold is still met, or adjusted to the qualifying tier otherwise. Ventrix may assign a tier at its discretion.
Members earn points on eligible purchases at the rate applicable to their tier. Points are earned only on invoices paid in full, and are posted when payment is received. Eligible purchases are equipment and parts. The following are excluded: rebate and incentive items (including utility or Mass Save / NEHPA program items), freight and delivery charges, taxes, fees, and any amounts subsequently credited, refunded or returned. Returns and credit memos reverse the points earned on the returned amount. Points accrue from the enrollment date; purchases before enrollment do not earn points.
Points may be redeemed in the Rewards Store for the items and services listed there. Point prices are set by Ventrix and may change. Redemption requests are subject to approval and availability; items may carry per-year limits or tier requirements; items marked for a future year are not redeemable until announced. Approved redemptions deduct points; rejected requests release them. Points have no cash value except as provided in Section 6.
Each January, points that remain unused at the close of the prior calendar year are converted at 100 points = US $1.00 into a credit on the member's Ventrix account, applied to future purchases. The credit is not redeemable for cash. Credit balances are governed by Ventrix's standard credit policy.
Privileges such as free delivery, quote price locks, payment terms, restocking fees, training seats, marketing materials, directory listing, lead referrals, priority warranty handling and year-end recognition are provided according to the member's tier and are subject to availability, reasonable use and Ventrix's standard policies. Payment terms and credit lines are subject to credit approval. Privileges identified as "coming" or "2027" are planned and are not guaranteed.
Points may be withheld, and privileges suspended, while any invoice on the account is more than 60 days past due. Ventrix may suspend or terminate a membership, and forfeit points, in cases of fraud, abuse, misrepresentation or breach of Ventrix's terms of sale.
Ventrix may modify, suspend or end the Program, including tier thresholds, earning rates, the Rewards Store and privileges, on 30 days' notice by email to the account's contact. Points earned before the effective date of a change are honored under Section 6.
Members are responsible for any tax consequences of participation. Points and credits may be treated as adjustments to the purchase price of goods. Consult your tax advisor.
Ventrix uses account information to operate the Program and sends Program emails (enrollment, statements, redemptions, conversions) to the account contact. See Ventrix's privacy policy.
